| |
| AGREEMENT |
| This agreement is made and entered into by the above
Participating Partner ("PP") with HotelExchange.com (appointed sales
representative of TTG Travel Club) for use of the TTG Travel Club ("TTC")
reservation system powered by Pelican, to provide rates and allotments of
travel products and services to the club's members. |

| TERMS & CONDITIONS |
| Fulfillment of This Agreement |
| • |
This agreement is subject to credit approval and
any credit accounts must be settled within thirty (30) days from the date of
invoice. |

| • |
Login codes for access into TTG Travel Club will
only be issued upon receipt of payment and completion of reservation system
set-up form (to be provided to you after the processing of this application
form). |
|
| • |
Once signed, this agreement is non-cancelable and
participation fee is not refundable or exchangeable for any other use. |
|
| • |
This Agreement will commence on the Effective Date
and shall expire on December 31, 2009. Absent written notice by either
party thirty (30) days prior to the end of the initial term (or any successive
term), this Services Agreement will automatically renew for successive one ( 1 )
year terms under the prices then in effect for the System Services. |

| |
| Accountability of Information Provided |
| • |
The "PP" shall be liable for the accuracy of all
information provided to "TTC" in the set-up form as well as all "PP" related
information presented on "TTC" website and reservation system for members'
preview.

|
| • |
The "PP" will solely undertake full responsibility
for any claim made by the member regarding the inaccuracy of information
provided. |
|
| • |
The "PP" shall be responsible for notifying "TTC"
of any inaccuracy in the "PP" information presented on "TTC" website, no later
than seven (7) working days after the information has been uploaded online by
"TTC". |
|
|
| |
| Rates and Allotments |
| • |
The "PP" must or try to ensure that special
rates*and allotments in the "TTC" reservation system are made available for at
least six (6) months in advance or more, at any one time, for "TTC" members to
preview and/or book. |
|
| • |
*Special rates offered to "TTC" members must be
lower than the best wholesaler rates. |
|
| • |
Failure to have valid rates or allotments in the
"TTC" reservation system will result in the "PP" not appearing on the selection
screen. |
|
| • |
The "PP" can change the rates/allotments extended
to "TTC" members in the reservation system at anytime. |
|
|
| |
| Bookings / Reservations |
| • |
The "PP" shall accept and honor all
bookings/reservations submitted by TTG Travel Club members online, as long as
the booking has been confirmed by the system and the "PP" has provided the
allotments in the system. |
|
| • |
"TTC" shall not be made responsible for, if any
"TTC" member does not check-in as reserved. The "PP" would have the member's
credit card details to guarantee the booking at the point of reservation and
the "PP" has the right to charge the member for no-show. |
|
| • |
"TTC" does not make any verification to the credit
card details submitted by any "TTC" member and the "PP" may choose to make this
verification once a confirmed booking is received from the member. |
|
| • |
The "PP" shall pay commission to "Hotelexchange
Pte.Ltd" as "TTC" appointed sales representative. Commission will be collected
on the end of month of the corresponding reservation check-out date. |
|
| • |
The "PP" shall provide written documents in case
of any outstanding issue that occur with no record in the "TTC" reservation
system such as: no-show or early check-out. |
|
|
| |
| Other Disclaimers |
| • |
"TTC" shall not be liable for any damages caused
or any incidental charges incurred by "TTC" members during their experience
with the "PP". |
|
| • |
"TTC" will not be responsible for any misuse of
the login and password given to the "PP" for access into the "TTC" reservation
system. The "PP" must immediately inform "TTC" should there be any suspected
abuse of password. |
|
| |
|
|
|
| |
| TERMINATION |
| A party may terminate this Agreement
upon written notice to the other party: |
|
| • |
For any material breach of this Services
Agreement, which the defaulting party fails to cure within thirty (30) days
following written notice by the non-defaulting party of such breach. |
|
| • |
The "PP" shall be liable to any outstanding
commission for reservation that is made prior termination effective dates. |
|
|
| |
